This Confidentiality Agreement ("Agreement") is entered into by and between Network Fire & Security LLC ("Disclosing Party") and the user accessing the website ("Receiving Party" or "User"), collectively referred to as the "Parties."
1. Purpose
The purpose of this Agreement is to protect the confidential and proprietary content, information, and materials available on networkfiresecurity.com and networkfs.com ("Confidential Information") from unauthorized replication, distribution, disclosure, saving, or recording.
2. Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Website content, articles, images, videos, software, and databases
- Design elements, source code, algorithms, and proprietary tools
- User interfaces, workflows, and internal documentation
- Any information not publicly available or explicitly designated as confidential
3. Obligations of the Receiving Party
The User agrees to:
- Not replicate, copy, or reproduce any content from the websites in any form.
- Not distribute, disclose, or share any Confidential Information with third parties.
- Not save, download, or store website content using any means, whether manual or automated.
- Not take screenshots, create screen recordings, or capture content using personal devices.
- Implement reasonable security measures to prevent unauthorized access, use, or disclosure of Confidential Information.
4. Exceptions
The obligations under this Agreement do not apply to information that:
Is or becomes publicly available through no fault of the User
Is lawfully obtained from a third party without restriction
Is independently developed by the User without reference to the Confidential Information
5. Duration
This Agreement remains in effect for as long as the User has access to the websites and will continue to protect Confidential Information even after such access has been terminated.
6. Breach and Remedies
Any unauthorized use or disclosure of Confidential Information constitutes a material breach of this Agreement. The Disclosing Party may seek injunctive relief, damages, or any other legal remedies available under applicable law to address such breaches.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.
8. Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior agreements, representations, and understandings, whether written or oral.
By accessing or using networkfiresecurity.com or networkfs.com, the User acknowledges and agrees to be bound by the terms of this Confidentiality Agreement.
